1. Platform Overview

HV Trades is a curated contractor directory and local visibility platform. We help homeowners discover independent contractors and allow contractors to publish business profiles, contact information, service areas, reviews, and related business details.

HV Trades does not perform contracting work, home improvement work, construction services, repair services, installation services, inspections, estimates, engineering, architectural services, or professional trade services.

2. Business Entity

This website is owned and operated by Hudson Valley Trades LLC, doing business as HV Trades.

3. Contractors Are Independent Businesses

Contractors listed on HV Trades are independent businesses. They are not employees, agents, representatives, franchisees, partners, joint venturers, or subcontractors of HV Trades.

Any agreement, estimate, quote, project, payment, warranty, dispute, or service relationship is strictly between the homeowner and the contractor.

4. Contractor Review and Approval

HV Trades may review contractors for factors such as apparent business legitimacy, public reputation, online presence, service area, reviews, and overall fit for the platform. This review is intended to improve the quality of the directory experience.

Review, approval, listing, placement, or continued presence on HV Trades does not guarantee contractor performance, workmanship, licensing status, insurance coverage, bonding, safety, availability, responsiveness, pricing, reliability, or project outcome.

5. No Guarantee of Work, Leads, or Results

HV Trades makes no guarantees regarding any contractor, homeowner inquiry, lead volume, job opportunity, project outcome, contractor response, homeowner response, revenue, ranking, search visibility, advertising performance, profile traffic, or business result.

6. Homeowner Responsibilities

Homeowners are responsible for their own hiring decisions. Before hiring any contractor, homeowners should independently verify all relevant information, including:

• Licensing, registration, insurance, and bonding where applicable.
• References, reviews, prior work, and business reputation.
• Written estimates, contracts, warranties, and project terms.
• Pricing, scope of work, schedule, permits, materials, and payment terms.
• Any local, county, municipal, or state requirements that may apply to the work.

Homeowners agree that they use their own judgment before contacting, selecting, hiring, paying, or entering into any agreement with a contractor.

7. Contractor Responsibilities

Contractors are responsible for the accuracy of their business information, compliance with applicable laws, customer communication, estimates, contracts, project performance, advertising claims, licensing, registration, insurance, bonding, permitting, taxes, and all services they provide.

Contractors agree not to submit false, misleading, deceptive, unlawful, infringing, defamatory, abusive, or harmful content to HV Trades.

8. Contractor Subscriptions and Payments

Contractors may be charged a recurring monthly subscription fee for profile placement, directory visibility, and related platform access. Payment for a subscription does not guarantee leads, calls, emails, jobs, revenue, search rankings, homeowner inquiries, conversion rates, exclusivity beyond the specific written terms offered, or any specific business outcome.

Unless otherwise stated in a separate written agreement, subscription fees are billed on a recurring basis and are due according to the billing terms presented at signup or communicated by HV Trades. Contractors are responsible for keeping payment information current.

HV Trades may change pricing, subscription features, service areas, listing rules, availability, or platform benefits at any time, subject to any written agreement then in effect.

9. Cancellations, Nonpayment, and Account Changes

HV Trades may suspend, downgrade, remove, or restrict any contractor profile for nonpayment, expired payment information, violation of these Terms, poor fit for the platform, reputational concerns, inaccurate information, user complaints, or any other reason we deem appropriate.

Unless otherwise stated in a separate written agreement, cancellation requests must be submitted to HV Trades before the next billing date to avoid future charges. HV Trades is not responsible for charges incurred before a cancellation request is received and processed.

10. Lead Forms and Contact Information

HV Trades may publish contractor phone numbers, email addresses, website links, and lead forms. Lead forms may send homeowner information directly to the contractor. HV Trades is not responsible for contractor response times, contractor follow-up, missed messages, email delivery issues, project acceptance, communications after an inquiry is submitted, or whether any homeowner inquiry becomes a paying job.

11. Reviews and Third-Party Content

HV Trades may display reviews, ratings, photos, business information, or other content sourced from third-party platforms, including Google Business Profiles. HV Trades does not create, control, verify, or guarantee the accuracy, completeness, legality, authenticity, timeliness, or availability of third-party content.

Third-party content may change, become outdated, be removed, contain errors, or no longer reflect a contractor’s current business practices. HV Trades is not responsible for third-party review content or decisions made based on that content.

12. Contractor-Submitted Content

Contractors may submit logos, photos, descriptions, service information, project examples, business details, and other content. By submitting content to HV Trades, contractors represent that they have the right to use and share that content and grant HV Trades permission to display, edit, format, reproduce, distribute, and use that content for website, directory, promotional, marketing, and platform-related purposes.

Contractors remain responsible for ensuring that submitted content does not violate the rights of any third party, including copyrights, trademarks, privacy rights, publicity rights, or contractual rights.

13. Website Content and No Professional Advice

Content on HV Trades is provided for informational and directory purposes only. Nothing on this website constitutes legal, financial, construction, engineering, architectural, safety, permitting, insurance, code compliance, or professional advice.

14. Prohibited Use

You agree not to use this website to:

• Submit false, misleading, abusive, unlawful, or harmful information.
• Interfere with website functionality, security, or performance.
• Scrape, copy, resell, harvest, or misuse contractor data or homeowner information.
• Impersonate another person, business, contractor, homeowner, or organization.
• Upload or transmit malware, spam, automated requests, or unauthorized promotional content.
• Violate any applicable law, regulation, third-party right, or platform rule.

15. Intellectual Property

The HV Trades name, branding, website design, text, graphics, layouts, icons, features, code, and other platform materials are owned by or licensed to Hudson Valley Trades LLC and may not be copied, reproduced, modified, distributed, or used without written permission.

16. Removal, Suspension, and Refusal of Service

HV Trades reserves the right to edit, reject, suspend, remove, downgrade, restrict, or refuse any contractor listing, user submission, content, profile, subscription, or access to the website at any time, with or without notice, for any reason we deem appropriate.

17. Website Availability and Errors

We make reasonable efforts to keep the website useful and available, but we do not guarantee uninterrupted access, error-free operation, complete accuracy, data availability, security, or that all content will remain current.

18. Disclaimer of Warranties

The website and related services are provided on an "as is" and "as available" basis. HV Trades disclaims all warranties, express or implied, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, and usefulness for any specific purpose.

19. Limitation of Liability

To the fullest extent permitted by law, Hudson Valley Trades LLC, doing business as HV Trades, and its owners, members, officers, employees, contractors, service providers, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to:

• Use of, or inability to use, the website.
• Contractor selection, hiring, communication, pricing, payment, or work performance.
• Property damage, bodily injury, financial loss, project delays, defects, incomplete work, or contract disputes.
• Errors, omissions, interruptions, security issues, data loss, or third-party content.
• Leads, revenue expectations, business outcomes, advertising performance, or profile visibility.
• Any reliance on contractor listings, reviews, ratings, badges, rankings, claims, or information presented on the website.

20. Indemnification

You agree to defend, indemnify, and hold harmless Hudson Valley Trades LLC, doing business as HV Trades, and its owners, members, officers, employees, contractors, service providers, and affiliates from any claims, damages, losses, liabilities, costs, or expenses, including reasonable attorneys’ fees, arising from or related to your use of the website, your submitted content, your interaction with any contractor or homeowner, your services, your business practices, your violation of these Terms, or your violation of any law or third-party right.

21. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

22. Changes to These Terms

We may update these Terms at any time. Updates will be posted on this page with a revised effective date. Continued use of the website after updates means you accept the revised Terms.
